SALES CONTRACT

The Seller agrees to sell and the Buyer agrees to buy the under-mentioned commodity on the terms and conditions stated below：

10. Terms of Payment
Cash on delivery(COD)： The Buyer shall pay to the Seller total amount within 30 days after the receipt of the goods.
11. Quality Guarantee
The Seller shall guarantee that upon Delivery all goods to be delivered by the Seller shall be completely new and shall comply in all material respects with Contract.
12. Claim
The Buyer shall make a claim against the Seller by the further inspection certificate and all the expenses incurred therefore shall be borne by the Seller. The claims mentioned above shall be regarded as being accepted if the Seller fails to reply within 10 days after the Seller received the Buyers claim.
13. Effectiveness
The contract shall come into effect immediately when it is signed by duly authorized representatives of both parties.
14. Amendment
This contract shall not be changed verbally， but only by a written instrument signed by parties.

注释：
1. 这是一份相对简单的合同，由标题、前言部分、正文和尾部组成。标题全部大写，前言部分由合同编号、日期和当事人部分组成，正文包括各条款，尾部比较简单，没有证明部分，只有签名部分。
2. under-mentioned 和above-mentioned 分别是指“下文提到的”和“上述，上文提到的”。
3. in respect with 和 in respect of 是合同术语，是指“在……方面”。
4. claim 在合同里一般是指“索赔”，还可以用compensation，“提出索赔”的表达有 "make a (ones) claim"， "register a (ones) claim"， "file a (ones) claim"， "lodge a (ones) claim"， "bring up a (ones) claim"， "make a claim with (agaist) sb."， "make a claim for (on) sth."等等， claim 还可以作为动词使用，如：claim for indemnity（要求索赔），claim for compensation（要求索赔）。

买方凭其委托的检验机构出具的检验证明书向卖方提出索赔，由此引起的全部费用由卖方负担。若卖方收到上述索赔后10天内未给予回复，则认为卖方已接受买方索赔。
13.生效
本合同自双方授权代表签字之日起生效。
14.修改
本合同不得以口头方式修改，而须经双方签署书面文件后方可修改。

By confirmed， irrevocable， transferable and divisible L/C to be available by draft at sight， to reach the sellers before_________Day，
Month，_________Year and to remain valid for negotiation in China until 15 days after the aforesaid time of shipment. The L/C must specify that transhipment and partial shipments are allowed.
14. Force Majeure
The Sellers shall not be held liable for failure or delay in delivery of the entire lot or a portion of the goods under this Sales Confirmation on consequence of any Force Majeure incidents， such as flood， fire， draught， earthquake， seaquake， war and so on.
15. Insurance： to be covered by the seller for 110% of total invoice value against all risks and war risk as per the ocean marine cargo clauses of the peoples insurance company of china， dated Jan 1st 1981.
16. Arbitration
Any dispute arising out of， in connection with this contract shall be referred to China international economic and trade arbitration commission for arbitration in accordance with its existing rules of arbitration. The place of arbitration shall be Beijing. The arbitral award is final and binding upon the two parties.
17. Versions
This contract is made out in both Chinese and English of which version is equally effective. Conflicts between these two languages arising therefrom， if any， shall be subject to Chinese version.

1. 该合同前言部分包括合同编号、合同签订日期、地点和当事人部分，当事人部分还并列列明双方当事人的地址和联系方式，这属于大陆法系的合同格式。
2. stipulate 在英语合同中表示“规定，约定”， 如 A delivery date is stipulated in the contract.合同中规定了交货日期。法律英语中，表示“规定”的还有prescribe 和specify， 它们区别在于stipulate 指保证、约定，按要求做，用在私人契约之间；specify 指特定化，具体化，引申出来的含义有：约定、规定和指定，多用在当事人之间的契约，行业规程方面； prescribe 指规定，要求获得权利，常用在法律规定场合。

买方须于_________年_________月_________日将保兑的、不可撤销的、可转让分割的即期信用证开到卖方。信用证议付有效期延至上列装运期后15天在中国到期，该信用证中必须注明允许分运及转运。
14.不可抗力
本确认书所述全部或部分商品，如因水灾、火灾、干旱、地震、海啸、战争等不可抗力，以致不能履约或延迟交货，售方概不负责。
15.保险：由卖方按发票金额的110%，按照中国人民保险公司海洋运输货物保险条款（1981年1月1日）投保一切险和战争险。
16.仲裁
凡因本合同引起的或与本合同有关的争议，均应提交中国国际经济贸易委员会，按照申请仲裁时现行有效的仲裁规则进行仲裁，仲裁地点在北京，仲裁裁决是终局，对双方均有约束力。
17. 文字
本合同中、英两种文字具有同等法律效力，在文字解释上，若有异议，以中文解释为准。
